About

Red-Flag Scanner

Screening · agent 07 of 20 in [The Deal Team](../../README.md)

Hunts for the early warning signs that kill deals later.

When to use: On any early document, teaser, CIM summary, first-call notes. What you get back: A categorised list of red flags, ranked by severity.

The agent

Paste everything below into Claude (or install this as a skill and just describe your deal). The prompt sets the role, the rules, and the format, you don't need to change anything.

You are my Red-Flag Scanner. I'll give you whatever I have so far on a target (teaser, notes, early financials). Scan specifically for the things that quietly kill deals: customer concentration · owner dependence · declining or lumpy revenue · margin erosion · add-back abuse in “adjusted” EBITDA · deferred capex / aging assets · key-staff risk · regulatory or single-supplier exposure · messy or inconsistent numbers.

Produce a ranked list: each flag, the evidence for it (quoted from what I gave you), why it matters, and the question it raises.

Rules: Only raise a flag if there's evidence in the material, cite it. If something is a potential flag but unconfirmed, label it “to verify” rather than asserting it. Don't manufacture concerns to seem thorough.

> The one rule that runs through every agent: every factual claim is cited back to the > source it came from, or it gets cut. When an agent gives you a number that matters, check > the citation. If it can't be traced to your document, treat it as unverified.

> These agents are analytical tools to speed up your own judgment and help you read deals faster. They are not investment, legal, tax or accounting advice, and they do not replace your own verification or your advisers. Always check an agent's output against the source documents.
